Opie Manufacturing Group Pty Limited ACN 003 951 004 and its subsidiary and associated companies (including but not limited to Stainless Metal Craft (Aust) Pty Ltd ACN 121 322 683 and Laser and Press Pty Limited ACN 122 660 066), and its successors and assigns (OMG) is not bound by any variation to its Terms unless expressly agreed upon in writing and signed by a duly authorised Representative of OMG and the Applicant. These Terms herein shall apply notwithstanding any provision to the contrary which may appear on any order form or other document issued by the Customer or any other party. OMG may at any time and from time to time alter these Terms and the Customer agrees that it will be deemed to have notice of any change to these Terms and to be bound by any subsequent versions of these Terms as they appear on www.opiegroup.com.au, whether or not the Customer has actual notice or not.

4. Terms of Payment
- Require the payment of cash upon delivery of any further Goods.
- Charge interest at the rate of twelve per centum (12%) per annum on a cumulative basis on all overdue amounts calculated on a day to day basis on any monies due but unpaid.
- Claim from the Customer all costs relating to any action taken by OMG to recover monies or goods due from the Customer including any mercantile agents costs and legal costs and disbursements on a solicitor client basis.
- Cease any further deliveries to the Customer and to terminate any agreement in relation to Goods that have not been delivered.

- The Customer has paid all of its accounts owing under this Agreement;
- The Customer, at its own cost, arranges for those Goods to be provided to OMG at OMG’s factory for repair/replacement, including de-fitting and/or uninstalling the Goods from any connections.

Addendum
Terms of Sale Addendum (2026)
Effective Date: 30 June 2026
This Terms of Sale Addendum (“Addendum”) forms part of and is incorporated into the existing Terms of Sale published by Lectrum Pty Ltd trading as Lectrum (“Lectrum”, “we”, “our”, “us”). Where this Addendum conflicts with the existing Terms of Sale, this Addendum will prevail to the extent of that inconsistency.
This Addendum applies to all purchases, quotations, customer accounts, distributor accounts, online services and digital interactions conducted through any Lectrum website, the OPIE Platform, customer portals, configurators or associated online services.
1. Electronic Acceptance
By accessing our website, creating an account, requesting a quotation, submitting an order, making payment or using any online service provided by Lectrum, you acknowledge that you have read and agree to these Terms of Sale.
Electronic acceptance has the same legal effect as a handwritten signature.
2. Customer Accounts
Customers may be required to create an online account in order to:
- request quotations;
- access pricing;
- place orders;
- access order history;
- download documentation;
- use product configurators; or
- access other digital services.
Customers are responsible for maintaining the confidentiality of their login credentials.
Customers must immediately notify Lectrum if they suspect unauthorised access to their account.
Lectrum reserves the right to suspend or terminate accounts used fraudulently, unlawfully or in breach of these Terms.
3. Online Quotations and Product Configurators
Any quotation generated through the Lectrum website, product configurator, AI-assisted configurator or OPIE Platform is provided for information purposes only.
Unless expressly stated otherwise:
- quotations are invitations to negotiate;
- prices remain subject to review;
- freight charges may vary;
- availability may change without notice;
- final specifications are confirmed only after order acceptance.
Lectrum reserves the right to correct pricing, configuration or specification errors before accepting an order.
4. AI-Assisted Services
Lectrum may provide AI-assisted tools including:
- product recommendations;
- search functionality;
- configuration assistance;
- technical documentation search;
- knowledge base responses;
- quotation assistance; and
- customer support tools.
These services are provided to assist customers only.
Customers remain responsible for ensuring any products selected are suitable for their intended application.
AI-generated responses do not constitute engineering advice, legal advice or professional certification.
5. Product Images and Digital Content
Product photographs, renders, CAD models, BIM models, animations, videos and 3D visualisations are provided for illustrative purposes.
Actual products may differ due to:
- manufacturing improvements;
- product revisions;
- lighting;
- screen calibration;
- optional accessories;
- engineering updates.
Lectrum reserves the right to improve products without notice.
6. Intellectual Property
All intellectual property appearing on the website or supplied by Lectrum remains the property of Lectrum Pty Ltd or its licensors.
This includes:
- product designs;
- engineering drawings;
- CAD files;
- BIM files;
- technical documentation;
- photographs;
- software;
- product configurators;
- pricing systems;
- databases;
- trademarks;
- logos;
- AI models;
- website content.
No licence is granted except as required for legitimate purchasing and product evaluation.
Customers must not reproduce, modify, reverse engineer, scrape, redistribute or commercially exploit any content without written permission.
7. Website Availability
While reasonable efforts are made to ensure website availability, Lectrum does not guarantee uninterrupted access.
The website, customer portal, configurator and associated online services may be suspended for:
- maintenance;
- security updates;
- system upgrades;
- emergency repairs;
- force majeure events.
Lectrum shall not be liable for temporary interruptions.
8. Payments
Online payments may be processed through secure third-party payment providers.
Lectrum does not store complete payment card details.
Payment providers operate under their own terms and privacy policies.
Accepted payment methods may change without notice.
9. Cybersecurity
Customers must not:
- attempt unauthorised access;
- interfere with website operation;
- upload malicious software;
- perform automated scraping;
- probe security vulnerabilities;
- overload systems;
- bypass authentication mechanisms.
Lectrum reserves the right to immediately suspend access where malicious activity is detected.
10. Export Compliance
Customers acknowledge that certain products, software, technical drawings or engineering documentation may be subject to Australian or international export controls.
Customers agree to comply with all applicable export control, customs and sanctions laws.
Lectrum reserves the right to refuse any transaction that may breach applicable legislation.
11. International Orders
International customers are responsible for:
- import duties;
- customs clearance;
- local taxes;
- import permits;
- regulatory approvals.
Delivery estimates are indicative only and may be affected by customs processing or international freight delays.
12. Australian Consumer Law
Nothing contained within these Terms excludes, restricts or modifies any rights or remedies available under the Australian Consumer Law or any other legislation that cannot lawfully be excluded.
Where legislation permits limitation of liability, Lectrum’s liability is limited, at its option, to:
- replacement;
- repair;
- resupply; or
- refund.
13. Data Protection
Personal information is collected, used and disclosed in accordance with the Lectrum Privacy Policy.
Customers acknowledge that:
- information may be processed electronically;
- cloud service providers may be used;
- secure third-party providers assist in delivering services;
- information may be transferred internationally where appropriate safeguards exist.
14. Marketing Communications
Customers may receive operational communications relating to:
- quotations;
- orders;
- deliveries;
- warranties;
- product safety;
- account administration.
Where consent has been provided, customers may also receive marketing communications.
Marketing communications include a method to unsubscribe.
Operational communications may continue where reasonably necessary to fulfil contractual obligations.
15. Third-Party Services
The website may integrate services provided by trusted third parties, including payment providers, analytics providers, mapping services, cloud infrastructure, logistics providers and customer communication platforms.
Use of those services may also be governed by the applicable third-party terms and privacy policies.
16. Force Majeure
Lectrum shall not be liable for delay or failure to perform caused by circumstances beyond its reasonable control, including but not limited to:
- natural disasters;
- pandemics;
- industrial action;
- cyber incidents;
- telecommunications failures;
- supply chain disruptions;
- government actions;
- transport interruptions;
- utility outages.
Performance obligations shall be suspended for the duration of the event.
17. Electronic Communications
Customers consent to receiving notices, invoices, quotations, order confirmations and contractual communications electronically.
Electronic communications satisfy any legal requirement that communications be in writing.
18. Amendments
Lectrum may update these Terms of Sale periodically to reflect changes in legislation, technology, products or business operations.
Updated versions become effective upon publication unless otherwise stated.
19. Governing Law
This Addendum shall be governed by the laws of New South Wales, Australia.
Nothing in these Terms limits any mandatory rights available to consumers under applicable laws in their country of residence where such rights cannot legally be excluded.
